1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between [COMPANY NAME] ("NSuite," "we," "us," or "our") and you ("you," "your," or "Operator") governing your access to and use of the NSuite Solo platform, application, API, and all related services (collectively, the "Service").
By registering for an account, clicking "I agree," or using any part of the Service, you represent that:
- You are at least 18 years of age (or the age of majority in your jurisdiction, if higher);
- You have the legal authority to enter into this agreement on behalf of yourself or any entity you represent;
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, do not register for or use the Service.
2. Description of the Service
NSuite Solo is a cloud-based business management platform designed for solo service-based business operators. The Service provides: Client Management, Appointment Scheduling, Invoicing, Inventory Management, Subscription Billing, Payment Processing Integration via Stripe Connect, and Email Notifications.
NSuite Solo is a B2B2C platform. You, as an Operator, use the Service to manage your own business clients ("End Clients"). NSuite processes End Client data at your direction and on your behalf.
3. Accounts and Registration
3.1 Account Creation
To access the Service, you must create an account by providing a valid email address, your first and last name, and a password (minimum 8 characters).
3.2 Account Security
You are responsible for maintaining the confidentiality of your password and all activities that occur under your account. NSuite Solo uses bcrypt password hashing (12 rounds) and HttpOnly cookies for session management. Promptly notify us at [SUPPORT EMAIL] of any unauthorized use of your account.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false information is grounds for immediate account termination.
3.4 One Account Per Business
Each NSuite Solo account is associated with a single business profile. Creating multiple accounts for the same business entity is prohibited.
4. Business Profile and Onboarding
Upon registration, you must complete your business profile including business name, description, phone number (E.164 format), and street address. Your business profile information may be displayed to End Clients on invoices and payment pages. You are responsible for ensuring this information is accurate.
5. Subscription Plans and Fees

5.2 Subscription and Billing
Paid subscriptions are processed via Stripe and billed monthly (or annually, if offered). Prices are listed in U.S. dollars (USD). We reserve the right to change subscription prices with 30 days' prior notice to your registered email address.
5.3 Platform Application Fee on Invoice Payments
If you use NSuite Solo's payment processing features (Starter and Pro plans), a platform application fee is deducted from each invoice payment collected: 3.0% on Starter, 1.9% on Pro. This fee is collected automatically by Stripe at the time of payment, prior to disbursement to your Stripe Connect account.
5.4 Cancellation
You may cancel your subscription at any time through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.
6. Payment Processing — Stripe Connect
To accept invoice payments from End Clients, you must complete Stripe Connect onboarding. By initiating Stripe Connect onboarding through NSuite Solo, you agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.
NSuite Solo does not store, process, or transmit payment card numbers, CVV codes, or other sensitive payment credentials. All payment card data is collected and processed exclusively by Stripe's infrastructure.
7. End Client Data and Data Processing
7.1 You Are the Data Controller for End Client Data
By adding clients to NSuite Solo, you are instructing us to collect, store, and process personal information about those individuals on your behalf. You are the data controller of End Client data. NSuite Solo is your data processor.
7.2 Your Obligations as Data Controller
You represent, warrant, and agree that:
- You have a lawful basis to collect and process each End Client's personal information;
- You have obtained any required consent or provided required disclosures to End Clients before adding their data to NSuite;
- You will not input data belonging to individuals under the age of 13 (or 16 in the EU/EEA);
- You will not input sensitive personal data (health/medical data, financial account numbers, government IDs, or biometric data) into free-text note fields;
- You will respond to End Client rights requests (access, deletion, correction) as required under applicable law;
- You will comply with all applicable privacy, data protection, and marketing laws.
7.3 Data Processing Addendum (GDPR / CCPA)
If you are subject to GDPR or CCPA, [COMPANY NAME] acts as your data processor / service provider. [COUNSEL NOTE: Attach a Data Processing Addendum (DPA) as Exhibit A and reference it here.]
7.4 Public Invoice Payment Pages
When you send an invoice to an End Client, a publicly accessible payment link is generated. The publicToken is a 32-character cryptographically random hex string. The link expires and becomes inaccessible 90 days after the invoice is sent. You are responsible for managing invoice links you distribute.
8. Acceptable Use
You agree not to use the Service to:
- Violate any federal, state, or local law or regulation
- Infringe any intellectual property, privacy, or other rights of any third party
- Add individuals as clients without a legitimate business basis or their consent where required by law
- Introduce malware, viruses, or any code designed to disrupt the Service
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure
- Circumvent or abuse the platform's rate limits (100 API requests per 60-second window)
- Use the Service to send unsolicited commercial email (spam)
- Use the Service for any purpose that violates Stripe's Restricted Businesses policy
9. Intellectual Property
NSuite Solo and all intellectual property therein are owned by [COMPANY NAME] or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own internal business management purposes.
You retain all rights in the data you input into NSuite Solo. By inputting data, you grant NSuite a limited license to use that data for the sole purpose of providing the Service to you.
10. Privacy
Our collection and use of personal information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by this reference.
11. Service Availability and Support
No service level agreement (SLA) is offered. The Service is provided on a best-efforts basis. We do not guarantee any specific level of uptime, availability, or performance. Support is available by contacting [SUPPORT EMAIL]; response times are not guaranteed.
12. Disclaimers and No Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL [COMPANY NAME], ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $100 USD.
14. Indemnification
You agree to indemnify, defend, and hold harmless [COMPANY NAME] and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service in violation of these Terms, your violation of any applicable law, or your failure to obtain required consents from End Clients.
15. Third-Party Services
The Service integrates Stripe (payment processing) and Resend (email delivery). Your use of those services is subject to their respective terms of service and privacy policies. NSuite is not responsible for the practices or content of third-party services.
16. Term and Termination
These Terms are effective from the date you create your account and continue until terminated. You may terminate your account at any time by canceling your subscription through the Stripe Customer Portal and contacting [SUPPORT EMAIL] to request account deletion.
Upon termination: access to the platform is revoked immediately; invoice and payment records are retained for seven (7) years from the date of payment as required by applicable financial record-keeping laws, regardless of account termination. Sections 9, 12, 13, 14, 17, and 18 survive termination.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of [STATE].
